Terms of Service

1. Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of the Skybase website, applications, APIs, and related services (the "Service"), operated by Skybase ("Skybase," "we," "us," or "our").
By creating an account, joining a workspace, joining our waitlist, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity. If you do not agree, do not use the Service.
2. Description of service
Skybase is a company knowledge platform: a shared workspace for capturing, organizing, and finding institutional knowledge, with an AI agent that can answer questions and work with your pages and connected tools. Features may include workspaces, collaborative pages, search, agent chat, skills, sharing, and integrations with third-party services (such as Slack, Notion, Google Drive, GitHub, Linear, and MCP servers). We may add, change, or remove features over time.
3. Account responsibilities
- You must provide accurate account information and keep it up to date.
- You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
- Workspaces are intended for legitimate organizational use. You may not create accounts or workspaces for abusive, deceptive, or automated bulk purposes without our permission.
- Workspace admins are responsible for managing members, roles, integrations, and content within their workspace, and for ensuring that members comply with these Terms.
- You must be at least 16 years old to use the Service.
4. Acceptable use
You agree not to:
- Use the Service for any illegal purpose or to violate the rights of others (including privacy, intellectual property, or publicity rights).
- Upload, paste, or store content that is unlawful, harmful, defamatory, harassing, or that you do not have the right to process.
- Abuse the agent or APIs — including attempts to jailbreak, extract system prompts at scale for competitive misuse, generate malware, spam, or other prohibited outputs, or circumvent safety or rate limits.
- Scrape, crawl, or harvest the Service or other users' content without authorization; reverse engineer, decompile, or attempt to derive source code except where such restriction is prohibited by law.
- Overload, disrupt, or interfere with the Service or any connected integration (including excessive automated requests or abuse of third-party APIs through Skybase).
- Bypass access controls, share accounts in a way that violates plan limits, or misrepresent your identity or affiliation.
- Use the Service to build a competing product by systematically copying Skybase features, branding, or non-public materials.
We may investigate violations and suspend or terminate access as described in Section 9.
5. Third-party integrations
The Service may allow you to connect third-party products and services (for example Slack, Notion, Google Drive, GitHub, Linear, payment providers, identity providers, or custom MCP servers).
- You are solely responsible for ensuring you have all necessary rights, consents, and authority to connect those services and to process the data they contain through Skybase.
- Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party products, content, security practices, or outages.
- Integration availability may change if a provider modifies or revokes API access. We are not liable for loss of functionality or data resulting from third-party changes or downtime.
6. AI-generated content disclaimer
Skybase includes AI features that generate text and other outputs based on your prompts, workspace content, and connected sources. AI outputs may be inaccurate, incomplete, outdated, or misleading. You are solely responsible for reviewing and verifying agent-generated pages, answers, and actions before relying on them for business, legal, medical, financial, or other decisions. Skybase does not guarantee that AI outputs are correct, unique, or fit for any particular purpose.
7. Intellectual property
- Your content.You (or your organization) retain ownership of content you submit to the Service, including pages, files, prompts, and integration-sourced data you control ("Customer Content").
- License to Skybase. You grant Skybase a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derivative works of Customer Content solely as needed to provide, maintain, secure, and improve the Service (including generating AI responses for your workspace and operating integrations you enable).
- Our IP. The Service, software, branding, design, documentation, and all related intellectual property remain owned by Skybase and its licensors. These Terms do not grant you any right to use our trademarks except as needed to identify your use of the Service.
- Feedback. If you provide feedback or suggestions, we may use them without obligation or compensation to you.
8. Subscription and billing
- Plans and pricing. Paid features are offered on a subscription basis (for example per workspace), at the prices shown at purchase or in your account. We may change prices with notice; changes typically apply at the next renewal.
- Billing cycle and auto-renewal. Subscriptions renew automatically at the end of each billing period (e.g. monthly) unless canceled before the renewal date through account settings or by contacting us.
- Payment. You authorize us and our payment processor to charge the payment method on file for fees and taxes. You are responsible for providing valid payment information.
- Refunds. Fees are non-refundable for partial periods unless we say otherwise. If you believe you were charged in error, contact us promptly.
- Non-payment. If payment fails or is overdue, we may suspend or limit access to paid features, and after reasonable notice may terminate the subscription. You remain responsible for amounts owed.
- Free / beta / waitlist access. Free, trial, beta, or waitlist access may be modified or discontinued at any time and may have different limits.
9. Termination
- By you. You may stop using the Service and, where available, delete your account or workspace, or cancel a paid subscription as described in billing settings.
- By us. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, fail to pay fees, or if we discontinue the Service. We may also suspend access to investigate suspected abuse.
- Effect. Upon termination, your right to use the Service ends. Provisions that by their nature should survive (including IP ownership, disclaimers, limitations of liability, and indemnification) will survive.
10. Data export and deletion on cancellation
- Export. Where the product supports export, you may export Customer Content before cancellation or deletion. If you need assistance, contact us within a reasonable time after cancellation.
- Retention after cancellation. Canceling a paid plan may downgrade or limit features but does not automatically delete your workspace. After account or workspace deletion, we handle data as described in our Privacy Policy (typically deletion within about 30 days, with limited backup retention thereafter).
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKYBASE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI OUTPUTS OR CONTENT WILL BE ACCURATE OR RELIABLE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKYBASE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SKYBASE FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT PAID ANY FEES.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
13. Indemnification
You will defend, indemnify, and hold harmless Skybase from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Customer Content; (b) your use of the Service in violation of these Terms or applicable law; (c) your integrations or third-party services you connect; or (d) your dispute with another user or workspace member.
14. Changes to these terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the effective date. Continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service and may cancel as described above.
15. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Skybase regarding the Service.
- Severability. If any provision is unenforceable, the remaining provisions remain in effect.
- Waiver. Failure to enforce a provision is not a waiver of the right to do so later.
- Force majeure. We are not liable for delays or failures due to events beyond our reasonable control.
